Conflicts of Interest Trustee Agreement

1. Contextual Overview

1.1

The Get It Done Foundation Trustees have been intentionally appointed based on their active involvement in the education landscape and for their extensive contacts established over many years separately and collectively. This supports the objectives of the Get It Done Foundation to optimise the grant making process and to ensure that the overhead costs are appropriately low and to ensure that grants are made to relevant, innovative education entities and individuals serving the most economically  marginalised children. The trustee-nominated projects will be extracted from the reality of the trustees experience and active engagement, within many contexts and in multiple collaborative initiatives and, therefore, very connected and aware of the impact generated by these projects

This trustee combination is innovative and ground-breaking because it will ensure that the Get It Done Foundation is able to support and grow collaborative initiatives that converge and amplify collective efforts in the education sector.

1.3

The Get It Done Foundation recognises the complexity of the trustees interconnected strengths combining the experience and perspectives that are integrated because of the diverse combination of trustees. The Get It Done Foundation expects all trustees to uphold the highest standards of integrity within this complex reality in the implementation of grant making.

2. Definition of conflict of interest

2.1

Conflicts of interest are deemed to occur when staff/board members transact official business with relatives, close friends or business associates that stand to gain materially.

2.2

Get It Done Foundation Trust Deed imposes strict limits on the benefits which may be conferred on Staff/Board in funding and provider relationships.

2.3

The Get It Done Foundation requires that all staff/board members are aware of the potential for conflicts of interest and declare openly in dealing with such situations.

3. Conflicts of interests can occur in one or more of the following ways:

3.1

A staff or board member takes part in a decision in which she/he may be unable to remain impartial or maintain objectivity in choosing between the interests of the Get It Done Foundation and his/her own personal interests.

3.2

A staff or board member (or a relative, close friend, or work-business associate) has a financial interest in the awarding of a grant or contract, or in a purchasing decision of the Get It Done Foundation.

3.3

A staff or board member (or a relative, close friend, or work-business associate) has a personal or business affiliation with a grant applicant or potential contractual partner, or any other conflict of loyalties, that may lead to or suggest influence in the Get It Done Foundation’s grant making decision.

4. What must happen if there is a conflict of interest?

4.1

In the case of a perceived or apparent conflict involving a current support services member, this must be disclosed to the Chairman of the Trustees decide on how to deal with managing the conflict of interest in consultation with the Board Trustees.

4.2

When a conflict of interest is declared in the grant making process the following processes will apply as indicated in the Get It Done Trust Deed:

8. PERSONAL INTERESTS OF TRUSTEES

The following provisions shall apply to a trustee having a personal interest in any Trust matter, namely:

8.1 He/she shall disclose his/her personal interest to his co-Trustees; and

8.2 the co-Trustees shall determine whether the Trustee with the personal interest my participate in deliberations and/or vote on the issue concerned or not; and

8.3 should be allowed to take part in deliberations and/or exercise his/her vote, where his/her personal interest in the matter concerned, is irrelevant.

4.3

The decision to recuse the trustee from any or all of the aspects of the decision-making process will be made on agreement based on the perceived degree of the relevance of the conflict. Where the conflict is considered to be direct the trustee will be expected to recuse himself/herself from the process.

4.4

All declarations of conflicts of interest and trustees response will be documented appropriately.
